Please read these Terms and Conditions (“Terms,” “Terms and Conditions”) carefully before using the MCUtility App (“App”) provided by Cloud Analogy (“Company,” “we,” “us,” “our”), available through the HubSpot App Marketplace.By installing or using the App, you agree to be bound by these Terms. If you disagree with these Terms, you should not use the App.

1. Acceptance of Terms

By using the MCUtility App, you agree to comply with and be bound by these Terms, as well as the HubSpot Marketplace Terms of Service and Privacy Policy. These Terms apply to all users who access or use the App.

2. Definitions

“Company,” “we,” “us,” and “our” refer to Cloud Analogy, the developer of the MCUtility App.
“You,” “your,” and “user” refer to the customer or the representative who obtains authorization to use the services of the MCUtility App.
“App” refers to the MCUtility application available for installation via the HubSpot App Marketplace.
“Services” refer to the functionalities the MCUtility App provides, including integrations, features, and capabilities.
“User Data” refers to the data you provide or input into the App during its use.

3. License Grant

We grant you a limited, non-exclusive, non-transferable license to download, install, and use the App solely for your internal business purposes. You may not copy, modify, distribute, or create derivative works of the App unless we authorize them.

4. Account Creation and User Responsibility

You must have a valid HubSpot account to use this App. You are responsible for maintaining the confidentiality of your account information and all activities under your HubSpot account. You must immediately notify us if you suspect any unauthorized account use.
By using the App, you agree to:
– Provide accurate and up-to-date information when using the App.
– Comply with all applicable laws, regulations, and third-party agreements.
– Not misuse the app, including sending spam or engaging in illegal communications.
– Ensure you have the necessary permissions to use the App in conjunction with HubSpot or any other connected systems.

5. Service Usage

You are responsible for all data transmitted via the MCUtility App. You must ensure that all content, such as messages and data, complies with applicable laws and does not violate third-party rights. The App is not intended for use with any illegal, defamatory, or otherwise harmful content.

6. Pricing and Payment

The MCUtility App is offered on a subscription basis. Pricing details are available through the HubSpot App Marketplace or within the App’s payment gateway. You are responsible for paying any fees associated with using the services, including applicable taxes. Pricing may be subject to change, and Cloud Analogy reserves the right to update fees periodically.

7. Modifications and Updates

Cloud Analogy may periodically update the MCUtility App to enhance features, fix bugs, or improve security. Updates may be automatic, and you agree to install updates as needed. Any significant upgrades or changes to features may incur additional fees.

8. Restrictions

You may not:
– Use the App for any unlawful or unethical activities.
– Reverse-engineer, decompile, or disassemble the App.
– Distribute the App for commercial purposes other than its intended use.

9. Termination

We may suspend or terminate your access to the App at any time, without notice, for any reason, including if we believe you have violated these Terms. All rights granted to you will immediately cease upon termination, and you must stop using the App.

10. Limitations of Liability

To the fullest extent permitted by law, we shall not be liable for any direct, indirect, incidental, special, or consequential damages arising out of your use or inability to use the App, even if we have been advised of the possibility of such damages. Our total liability to you shall not exceed the amount you paid for the App.

11. Confidentiality

Both parties agree to keep all confidential information received during the use of the App private and not disclose it to third parties unless required by law. The feedback you provide may be used for promotional purposes.

12. Support and Maintenance

We provide ongoing support for the MCUtility App functionalities through our customer service channels. We are not responsible for any technical issues arising from your misuse of the App or third-party integrations.

13. Warranty Disclaimer

The MCUtility App is provided “as-is,” with no express or implied warranties regarding its functionality or performance. Cloud Analogy does not guarantee that the App will meet all your requirements or operate without interruptions or errors.

14. Governing Law

These Terms are governed by and construed in accordance with the laws of the jurisdiction where the company is incorporated, without regard to its conflict of law principles.

15. Changes to Terms

We reserve the right to update or modify these Terms at any time. Any changes will be posted on this page, and the updated Terms will be effective as of the posting date. Your continued use of the App after such changes constitutes your acceptance of the revised Terms.
